2.               Acceptance of Terms

3.               Modification of Terms

3.1            Rever reserves the right to modify, update, or amend these Terms at any time, at its sole discretion, in order to reflect changes in a) new legal requirements, b) changes to the law, c) enhancements to business practices, and/or improvements to the Services. Any such modifications will be communicated to the User through updates on Rever’s Website or by direct notification via email or other means if the User is a registered User.

3.2            The modifications will become effective as of the date of the update or as otherwise specified in the notification. Continued use of the Services after the Effective Date of such modifications constitutes the User’s acceptance of the modified Terms. If the User does not agree to the modified Terms, they must discontinue the use of the Services and may request the termination of their subscription or account before they become effective.

3.3            Rever encourages the User to periodically review these Terms to stay informed of any changes. In the event of a significant change to the Terms, such as those affecting the User’s rights or obligations, Rever will provide reasonable notice to the User.

3.4            Modifications will become effective upon the earlier of: (a) your acceptance of the modified Terms, (b) your use of the Service with knowledge of the modified Terms, or (c) thirty (30) days following our publication of the modified Terms through the Service.

3.5            If any modification to the Terms is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, the remainder of the Terms will remain in full force and effect.

5.               Account Registration and Security

5.1            The User may need to create an account, to access specific features of the Services. The User must provide all necessary details for the account registration, including but not limited to their name, email address, and any other information requested by Rever. The User herein represents and warrants that all information provided is accurate, complete, and up-to-date at the time of registration and agrees to update such information promptly in case of any changes.

5.2            Upon registration, the User will choose a username and password (or any other identifiers designated by Rever) to access their account. The User is responsible for maintaining the confidentiality and security of their login credentials.

5.3            The User agrees to notify Rever immediately if they become aware of any unauthorized use or breach of security involving their account, including the loss or theft of their login credentials. Upon notification from Rever, the User shall promptly change any passwords associated with their account.  Further, Rever will not be liable for any loss or damage arising from unauthorized access to the User’s account.

5.4            The User is solely responsible for all activities conducted under their account, including ensuring that all Users who access the Services through the User’s account comply with the Terms. The User is also responsible for safeguarding their account and ensuring that it is not used for any illegal or unauthorized activities.

5.5            Rever reserves the right to suspend, disable, or terminate the User’s account, at its sole discretion, if Rever believes the account has been compromised, does not meet the eligibility criteria, or is being used in violation of these Terms, or if the User engages in activities that threaten the security, stability, or integrity of the Services.

5.6            Rever is committed to protecting the privacy and security of the User’s Personal Data. The User agrees to abide by the privacy practices outlined in the Rever’s Privacy Policy, which governs the collection, use, and protection of the User’s data.


6.               User Responsibilities

The User is responsible for obtaining and maintaining, at their own expense, any hardware, software, and telecommunications connections required to access the Service, which are not provided by Rever. The User is also responsible for ensuring that such hardware, software, and connections are compliant with applicable laws, functional, and do not infringe on the rights of Rever or Third Parties.


Prohibited Use: The User agrees not to engage in any of the following activities unless otherwise expressly permitted by these Terms:

7.1            Use, sell, rent, lease, transfer, or license the Service to any Third Party without the express consent of Rever.

7.2            Use the Service or any content accessible through the Service in any manner that could damage, disable, overburden, or impair the functionality of the Service.

7.3            Explore, scan, or test for vulnerabilities in the Service, or engage in any unauthorized attempts to gain access to any portion of the Service.

7.4            Use data mining, web scraping, or any similar data extraction techniques on the Service or its content.

7.5            Attempt to reverse engineer, decompile, or disassemble the Service, except as permitted by applicable law.

7.6            Use the Service in a way that violates the rights, privacy, or Intellectual Property of Third Party.

7.7            Use the Service to transmit any harmful material, including malware, spyware, viruses, or any other software designed to disrupt, damage, or limit the functionality of any computer hardware or software.

8.               Intellectual Property

8.1            All Intellectual Property rights, related to the Service provided by Rever, the results of the Service, and any modifications, improvements, or derivative works developed by Rever during the course of providing the Service, shall remain the exclusive property of Rever.

8.2            Subject to applicable confidentiality and Data Protection laws as detailed in the Privacy Policy, Rever shall be entitled to use the User Data in connection with the Service for its current or future business activities. Such use may include but is not limited to, collecting, storing, analyzing, structuring, editing, and comparing the Data, as well as other similar actions. Rever may also use the Data for purposes such as developing its own products and services, compiling statistics, and for other commercial purposes, even after the termination of this Agreement.

8.3            Rever retains the right to use, exploit, and commercialize any know-how, expertise, processes, or methodologies that it has acquired or developed during the provision of the Services, including those used in connection with or derived from the User’s use of the Service.

8.4            Rever shall not be responsible for any Third-Party software, products, or services used in connection with the Service. Any such Third-Party software, products, or services are subject to their own separate terms and conditions, which the User must comply with. Rever makes no warranties or representations regarding the quality, functionality, or availability of Third-Party software or services.

8.5            Upon termination of this Agreement, Rever shall deliver to the User any User Data within 90 (ninety) days after termination. The User materials will be provided in a commonly used electronic format, provided that Rever is not required to retain any such information for longer than necessary for its own business needs or legal obligations.


9.               Privacy Policy

9.1            Rever is committed to protecting the privacy of its Users. The collection, use, and disclosure of Personal Data is governed by Rever’s Privacy Policy, which is incorporated into these Terms by reference. By using the Service, the User agrees to the collection and use of their Personal Data in accordance with the Privacy Policy.

10.            Limitation of Liability

10.1         Notwithstanding any provisions to the contrary in this Agreement, Rever shall not be liable with respect to any cause related to or arising out of this Agreement, whether in an action based on contract, tort (including negligence and strict liability), or any other legal theory, for (a) indirect, special, incidental, or consequential damages; (b) damages based on the use or access to the Service, interruptions, delays, or inability to use the Service, lost revenues or profits, delays, interruptions, or loss of Services, business, or goodwill, loss or corruption of data, loss resulting from system or system service failure, malfunction or shutdown, failure to accurately transfer, read or transmit information, failure to update or provide correct information, system incompatibility, or breaches in system security; or (c) any damages that, in the aggregate, exceed the total fees paid or payable by the User for the Service or professional services that are the subject of the claim during the twelve (12) months immediately preceding the event giving rise to such damages. These limitations apply whether or not the Party has been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy.

10.2         The User and Rever shall not be liable for any indirect, consequential, or special damages arising from the use or inability to use the Service, including but not limited to loss of profit, business, data, reputation, or any other type of indirect loss.

10.3         Each Party shall be liable to compensate the other Party only for direct damages caused by a breach of the Agreement.

10.4         The limitations of liability set out in this section shall not apply to:

10.4.1     damages caused intentionally or through gross negligence;

10.4.2     damages resulting from a breach of the confidentiality provisions outlined in this Term; or

10.4.3     damages arising from any unlawful acts or violations of applicable law by either Party.

10.5         Rever shall not be held liable for any damages caused by Third-Party software, products, or services, including any defects or limitations inherent in such Third-Party offerings. The User acknowledges that Third-Party software and services are governed by their own terms and conditions, which the User must comply with.

10.6         User and Rever shall not be liable for any failure or delay in performance of its obligations under this Agreement to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of god, governmental regulations, natural disasters, wars, terrorism, labour disputes, or system failures.


11.            User’s Indemnification Obligations

11.1         Each Party (“Indemnifying Party”) agrees to indemnify, defend, and hold harmless the other Party, its affiliates, officers, directors, employees, agents, and representatives (“Indemnified Party”) from and against any claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys’ fees), or other liabilities arising from (i) any breach of the representations, warranties, or covenants made by the Indemnifying Party in these Terms and Conditions, (ii) any third-party claim, demand, suit, or action resulting from the Indemnifying Party’s actions, omissions, or negligence, including intellectual property infringement or violation of laws, and (iii) any misuse of the Service or unauthorized access by the Indemnifying Party or its representatives. The obligations under this indemnity will survive the termination or expiration of these Terms.

11.2         The indemnity obligations set forth in this section shall survive the termination or expiration of this Agreement and remain in full force and effect. This indemnity is in addition to, and not in lieu of, any other legal rights or remedies that either Party may have under applicable law.


12.            Governing Law and Jurisdiction

12.1.       These Terms, along with any agreement entered into between Rever and the User, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

12.2.       Any dispute, controversy, or claim arising out of or in connection with these Terms, including questions regarding the existence, validity, or termination of the Agreement, shall first be attempted to be resolved amicably through good faith negotiations between the Parties.

12.3.        For disputes not resolved through negotiation, the exclusive jurisdiction for any legal proceedings arising out of or in connection with these Terms and Conditions, the Agreement, or any unresolved disputes shall be the state and federal courts located in Delaware, United States of America.

12.1.       These Terms, along with any agreement entered into between Rever and the User, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

12.2.       Any dispute, controversy, or claim arising out of or in connection with these Terms, including questions regarding the existence, validity, or termination of the Agreement, shall first be attempted to be resolved amicably through good faith negotiations between the Parties.

12.3.        For disputes not resolved through negotiation, the exclusive jurisdiction for any legal proceedings arising out of or in connection with these Terms and Conditions, the Agreement, or any unresolved disputes shall be the state and federal courts located in Delaware, United States of America.
